on a brandnew install of 2003 server and magic if this is the case you will
have errors on the console(the event viewer only says mgrntw.exe terminating
      unexpectedly)

Thanks Tim ... my brain kept saying that is also a possible issue,
however, never ended up stating it.

It is true that 2003 is a bit more hairy in the permissions area.

perhaps this is a 2003 server permissions issue on your .exes ive seen
          this
on a brandnew install of 2003 server and magic if this is the case you
          will
have errors on the console(the event viewer only says mgrntw.exe
          terminating
          unexpectedly)
