      thought it would be good to know what exciting new developments are
      happening at Wimba. This merger sounds very exciting.
      I just asked our IT people to check if Wimba is compatible with the learning
      management system (formerly known as "course management system") eCollege,
      which I use to deliver my online CALL course.

      Companies Unite to Offer Robust Distance Education Solutions

      New York, NY, U.S.A. / Sophia Antipolis, France (Wednesday, April 7,
      2004) - HorizonLive, Inc. a U.S. company and the leading provider of

      announced today that they have entered into an agreement in principle to
      combine their companies. HorizonLive and Wimba are both privately held,

      Following the combination, the corporate name of the combined companies

      The companies also announced that following completion of the
      combination, Mr. Tommaso Trionfi, current CEO of Wimba, will become the
      CEO of Horizon Wimba, Inc. which will be headquartered in New York
      City. Mr. Walter H. Barandiaran, current Chairman and CEO of
      HorizonLive, Inc. will become the Chairman of Horizon Wimba, Inc.

      Walter Barandarian, Chairman and CEO of HorizonLive commented: "The
      competitive dynamics of the education industry are changing rapidly. As
      the adoption of web-based technology to deliver educational services
      continues to accelerate, we believe that providing innovative, high
      quality, and affordable solutions for the online education market is a
      formula for success." Mr. Barandiaran added: "Following the
      combination, Horizon Wimba will serve customers at more than 250
      colleges and universities in the U.S., Europe, and the Far East."

      Tommaso Trionfi, CEO of Wimba commented: "The rationale for combining

      complementary and dedicated to online education, our sales and marketing
      synergies are compelling, and our operations and client support can be

      Completion of the combination is subject to a number of customary
      conditions to closing including, among others, completion of
      satisfactory due diligence and certain shareholder approvals.
