The general agreement is to re-implement the idea of the character in ICONS rather than trying a straight conversion.
There are some extra powers and rules in the Villainomicon; I think the part of the book that contains new rules is actually available as a free excerpt. (Is it on RPGNow/DriveThru? I have the PDF of the book, so I've never needed to look. Someone else will have to help here.)
A couple of general rules which might be useful in re-implementing characters. I can't be really specific because I haven't played M&M 3 yet, though I have played and run a bit of the other two editions.
Because ICONS uses 1-6 as the human scale and M&M 3E uses -5 to 7 (a span of 13, if you count 0), you can get a rough idea by dividing the M&M value for Strength, Intellect, and Wisdom by 2 and then adding 3. You'll still need to fudge, and that won't work well outside the human range.
You'll have to transform hand-to-hand ability for ICONS Prowess. The M&M ranged aiming/dodge ability translates into the ICONS Coordination.
Complications become Challenges. You might have to compress several complications into one, and word it so that it can be compelled, if the GM has a chance.
Most features become Qualities, but try to reduce many features to whatever it is they're modelling, because you only get 5 Qualities. Instead of Batman's laundry list of features, it becomes "ID: Billionaire playboy" and "Motivation: To atone, one punk at a time" and "Prepared for this" (along with Gadgets).
Some things you just can't model explicitly in ICONS. Anybody can interpose, so that doesn't get modeled. Power Attack doesn't really exist. The stealing luck power might be Alteration Ray (give Bad Luck), if the GM approves.
